MicroStrategy, a prominent business intelligence firm and corporate bitcoin holder, has announced its intention to raise $500 million through a convertible senior note offering, with an option to increase the amount by an additional $75 million ¹. This strategic move is designed to further expand the company's bitcoin holdings, while also providing flexibility for debt management and potential equity growth.

The notes, due in 2032, will be privately offered to qualified institutional investors, subject to market conditions and other factors. They are unsecured, bear interest semi-annually, and can be converted into cash, MicroStrategy class A common stock, or a combination of both. This offering aligns with MicroStrategy's strategy of utilizing debt financing to bolster its bitcoin position, which it has consistently pursued since 2020.

In March, MicroStrategy proposed a $600 million convertible note offering, following a surge in its share price. This led to the purchase of an additional 9,245 BTC for $623 million in cash. Subsequent smaller acquisitions in March and April have resulted in the company holding 214,400 BTC, valued at $14.5 billion at current bitcoin prices. Despite a current 1.5% decline in pre-market trading, MicroStrategy's share price has experienced a significant 30% increase over the past month and a remarkable 130% growth year-to-date.

In a separate announcement, MicroStrategy declared the redemption of $650 million worth of its 2025 convertible senior notes, scheduled for completion on July 15. Holders of these notes can convert them into MicroStrategy shares at a rate of 2.5126 shares per $1,000 principal amount, reflecting a conversion price of $397.99 per share. The company will settle these conversions entirely in shares of its class A common stock, demonstrating its commitment to its bitcoin-focused strategy.

MicroStrategy's proactive approach to expanding its bitcoin holdings and adopting the cryptocurrency as its primary reserve asset is evident in its previous actions. In December 2020, the company issued $650 million of 0.75% convertible senior notes due in 2025, further solidifying its position in the bitcoin market.
