Consensys, a prominent Ethereum software company, is moving ahead with its legal action against the U.S. Securities and Exchange Commission (SEC) to seek clearer regulatory guidelines for the cryptocurrency industry. This decision comes despite the SEC concluding its 14-month investigation into the company.

Closure of SEC Investigation

On June 18, the SEC announced the conclusion of its investigation into Consensys, which focused on Ether transactions during Ethereum's shift to a proof-of-stake consensus mechanism. The probe, initiated on March 28, 2023, included a Wells notice sent to Consensys in April, indicating potential enforcement actions related to its crypto wallet service, MetaMask. This investigation sparked debates over whether Ether should be classified as a security.

Consensys's Response

Consensys CEO Joseph Lubin acknowledged the investigation's closure as a positive step but criticized the SEC's regulatory approach.

He remarked,

“We are hopeful that the hostility toward crypto among certain US regulators is beginning to diminish and that the national strategy for investor protection will move beyond current guerrilla tactics. Nevertheless, we continue our legal battle with the SEC in Texas because we are committed to achieving greater legal clarity for all.”

Lubin's statement underscores Consensys's dissatisfaction with what it perceives as regulatory unpredictability and insufficient guidance for the industry. Despite the SEC's decision to close the investigation, Consensys believes that broader regulatory concerns remain unresolved.

Lawsuit Continues

Following the Wells notice in April 2023, Consensys promptly filed its lawsuit, arguing that the SEC lacks jurisdiction over Ether. The company cited the 2018 classification of ETH as a commodity and pointed to recent approvals of spot Ethereum ETFs as further evidence against its classification as a security. In a June 2024 blog post, Consensys reiterated its stance that the investigation was unwarranted and reinforced its arguments.

The SEC's closure notification clarified that Consensys could still face future investigations, contributing to ongoing uncertainty for cryptocurrencies with similar characteristics. This uncertainty underscores the critical need for comprehensive regulatory frameworks.

Seeking Clarity in Regulation

Consensys maintains that it operates by developing software products for global use on the Ethereum network, asserting its right to conduct business without the threat of arbitrary enforcement actions.
