Uniswap Labs, the main developer behind the decentralized exchange Uniswap, has been under regulatory scrutiny since 2021. Recently, on April 10, the platform received a Wells notice from the SEC, indicating that the regulator's staff intends to recommend enforcement action.

Uniswap operates as an automated token exchange on the Ethereum blockchain, allowing users to swap various crypto tokens without traditional intermediaries. Despite its innovative approach, questions arise regarding its regulatory status.

Uniswap Labs has consistently claimed that it's only responsible for developing the frontend portal of the Uniswap app. According to the team, this frontend is separate from the Uniswap protocol, which is an autonomous code available for public use. Cochran's analysis supports these claims, emphasizing that the frontend and the smart contract are distinct components in a crypto trade.

The regulatory landscape becomes murkier when considering asset listing. A previous 1998 commission found that an electronic system for common stocks not listed on an existing exchange doesn't constitute an exchange, irrespective of fees charged. Similarly, the commission's findings suggest that merely being the primary listing location for an asset doesn't classify Uniswap as more of an exchange, especially if it doesn't handle clearing and settling transactions.

This distinction between the frontend and protocol is crucial in understanding Uniswap's regulatory position. Cochran points out that trades can be executed on the smart contract through other interfaces like Etherscan or swap aggregators, further emphasizing the independence of the frontend from the core protocol.
